Last updated: 2026-10-27. Covers deals with an event (announcement, stockholder approval or closing) from 1 July to 27 October 2026; deal status as of 28 October 2026. Next update: first week of November 2026.
An AI x PE deal is a transaction in which a private-equity firm, a sponsor-backed platform or an AI-native holding company buys, merges with or invests in an operating business, and the deal's own announcement cites AI as part of the thesis, the buyer's operating model or the target's product. This tracker lists such deals with disclosed terms and primary sources, and excludes data-centre and compute deals.
Key takeaways
- This launch issue lists 5 verified deals: 3 take-privates of listed companies, 1 platform capital raise and 1 growth investment.
- Grant Thornton Advisors LLC announced on 29 July 2026 to acquire CBIZ, Inc. at an enterprise value of $5 billion, $55.00 per share in cash; CBIZ stockholders approved the merger on 27 October 2026, and the company said it expects to close on or about 2 November 2026, subject to the merger agreement terms.
- A GTCR-led consortium including Elliott Investment Management agreed on 15 October 2026 to acquire CCC Intelligent Solutions at an enterprise value of approximately $6.1 billion; closing is expected in Q1 2027.
- Long Lake completed its take-private of Global Business Travel Group (Amex GBT) on 29 September 2026; the release gave "approximately $6.3 billion" without stating whether that is equity or enterprise value.
- Thrive Holdings' $12 billion is a valuation after a raise of over $2 billion, not a price paid for a business, so it is never added to deal values.
Which AI x PE deals happened in Q3 2026 and October?
Five deals meet the inclusion criteria below. Values are shown as disclosed, with their type. "Undisclosed" means the source did not state a value; we do not estimate.
| Date announced | Buyer / lead investor | Target | Type | Value as disclosed (type) | Status (as of 2026-10-28) | AI angle (from the source) |
|---|---|---|---|---|---|---|
| 2026-05-04 | Long Lake Management Holdings | Global Business Travel Group (Amex GBT) | Take-private | Approx. $6.3 billion, all-cash, $9.50 per share (basis not stated in release) | Closed 2026-09-29 | Buyer is an AI-enabled services platform; release says it "pioneered the use of frontier technology to accelerate services industries" |
| 2026-07-29 | Grant Thornton Advisors LLC (supported by New Mountain Capital) | CBIZ, Inc. | Take-private | $5 billion enterprise value, all-cash, $55.00 per share | Stockholders approved 27 October 2026; close expected on or about 2 November 2026 (company 8-K) | Buyer cites a "$1 billion investment in AI and advanced technologies" |
| 2026-08-12 | SoftBank Group, D1 Capital Partners and Altimeter Capital (new outside investors), with existing partners | Thrive Holdings | Platform raise | Over $2 billion of new capital at a $12 billion valuation (valuation, not a price paid) | Announced | Holding company that buys services businesses and rebuilds them with AI; says it owns and operates "more than 70 businesses" |
| 2026-09-09 | Sverica Capital Management | Atrium | Growth investment | Undisclosed | Announced | Target is an AI consultancy |
| 2026-10-15 | GTCR-led consortium including Elliott Investment Management | CCC Intelligent Solutions | Take-private | Approx. $6.1 billion enterprise value, all-cash, $7.75 per share | Pending as of 28 October 2026 (no 8-K filed since 15 October on EDGAR); close expected Q1 2027 | Target described as "a leading SaaS and AI platform provider"; buyers plan to "accelerate the AI and agentic capabilities our customers want" |
The window is events from 1 July 2026. Amex GBT was announced on 4 May, before the window, and is included because its stockholder approval (3 August) and closing (29 September) fall in Q3. Company-reported figures such as Thrive's "more than 70 businesses" are the company's own statements and are not verified by Antagor Capital.

The three take-private values are on different bases and are not summed. Source: company releases linked below. Chart by Antagor Capital.

What do these deals have in common?
These are observations from the five rows above, recomputed from the table at each update.
- Three of the five deals are take-privates of listed companies, all-cash, announced between May and October 2026. One has closed (Amex GBT, 29 September); two are pending (CBIZ, whose stockholders approved the merger on 27 October, and CCC).
- All three take-privates disclose a headline figure, but state the basis differently. CBIZ and CCC give enterprise value. The Amex GBT release gives "approximately $6.3 billion" without saying whether that is equity or enterprise value.
- The AI wording sits in different places. It appears in the buyer's operating model (Long Lake, Thrive Holdings), in a buyer's technology investment (Grant Thornton Advisors' $1 billion) or in the target's product (CCC, Atrium).
- Services businesses feature in three of the five rows. Amex GBT (travel management) was acquired by an AI-positioned services platform, Thrive Holdings buys and operates services businesses, and CBIZ is a professional-services firm. For how that model works, see what an AI rollup is and the AI rollup margin bridge.
- One of the five deals has closed. CBIZ stockholders approved the merger on 27 October 2026 and the company expects to close on or about 2 November 2026; the parties state a Q1 2027 closing for CCC; Thrive's raise and Atrium's investment are announced capital.

How were deal values reported?
Three different value types appear in this tracker, and they are not interchangeable.
- Enterprise value (CBIZ, CCC): the release states it. Equity value is not stated in either release.
- Headline transaction value (Amex GBT): "approximately $6.3 billion"; the release does not say whether this is equity or enterprise value. One outlet printed a different figure; we could not verify it and do not use it.
- Valuation (Thrive Holdings): the company's valuation after a primary raise of over $2 billion. It is not an acquisition price and is never added to deal values.
- Undisclosed (Atrium): no terms were stated in the source we read.
We never sum values across rows, because the bases differ.
How does this tracker work?
Inclusion criteria. A deal is listed when all of the following hold:
- The buyer or lead investor is a financial sponsor, a sponsor-backed platform or an AI-native holding or rollup company.
- The target is an operating business (software, services, data), not physical AI infrastructure.
- A primary source or tier-1 report cites AI in the rationale; we quote the wording.
- The date shown is the announcement date. The status column records later events such as stockholder approval or closing.
- The value is shown exactly as disclosed, labelled enterprise value, equity value or valuation when the source says so, marked "reported" if press-only, and "undisclosed" otherwise.
Exclusions. Data-centre, power and compute infrastructure deals; strategic (non-sponsor) acquisitions; management-led buyouts without an AI rationale.
Sources. SEC filings and company releases first; tier-1 trade press where no primary page was readable. This launch issue lists five US deals and is not exhaustive: deals are added only with a primary or tier-1 source. A fuller table, with a Q2 back-fill and non-US deals, is planned for issue 2.
Updates and corrections. The page is updated on a regular cadence (next: first week of November 2026), and the "Last updated" date changes with every edit. Send corrections through our contact page.
What are AI rollups, and how do they differ from AI-enabled take-privates?
An AI rollup acquires established services firms and rebuilds their work with AI; Thrive Holdings and Long Lake are the best-known examples in this tracker. A take-private of a listed company, such as CBIZ or CCC, is a single large acquisition by a sponsor or sponsor-backed buyer that cites AI in its rationale. Both appear here because the announcement cites AI. For the definition and mechanics, read What is an AI rollup?.
